1. DEFINITION OF TERMS


The Client – The entity which enters into a contract with Monave Designs


Browser, Internet Browser, Web Browser – The software with which websites can be viewed. Examples include Mozilla Firefox and Microsoft Internet Explorer


Content, Website contents – Data such as text content, photographs and logos supplied by The Client and used to produce the Website, but which excludes the Design Template.


Content Management – Where a client is provided with an account to maintain website content for themselves.


Design, Design Template – The files which define a Website’s appearance as viewed via a Web Browser


Domain Name – The root address of a website, e.g. www.webaddress.com. All such names must be registered with the appropriate naming authority. A fee will apply for this service.


Downtime – Time when the website is not accessible via the Internet. This may be because of a technical failure of the Host or because work is being carried out on the site.


Host – The company on whose system the Website physically resides.


Link, Hyperlink – A ‘clickable’ link embedded on a web page which may take the form of a graphic or text.


Main Browsers – A selection of the most widely-used web browsers used by Vive Designs for the purposes of testing of the Work. These are currently defined as the software versions of Internet Explorer and Mozilla Firefox current on the date the contract is signed by The Client.


Search Engine – A website which contains a directory of websites on the Internet enabling users to find websites by subject matter classification.


Website – A collection of web pages and associated code which forms an integrated presence.


The Work – The subject matter of the contract between The Client and Monave Designs.


Social Media Content -  Social media content refers to any material, such as images, videos, text, or graphics, that is created and shared on social media platforms. This content is typically designed to engage and interact with the audience, drive traffic to a website or landing page, promote products or services, and build brand awareness.


SEO (Search Engine Optimization) - SEO is the process of optimizing a website or online content to improve its visibility and ranking on search engine results pages (SERPs). This is achieved through various strategies and techniques aimed at enhancing the website's relevance, authority, and user experience, thereby increasing organic (non-paid) traffic from search engines.


Brand Design - Brand design encompasses the visual elements and identity of a brand, including its logo, color palette, typography, imagery, and overall aesthetic. It aims to create a cohesive and memorable representation of the brand that communicates its values, personality, and unique selling propositions to the target audience.


Ecommerce - Ecommerce, short for electronic commerce, refers to the buying and selling of goods or services over the internet. It involves transactions conducted online through websites, mobile apps, or online marketplaces. Ecommerce encompasses various business models, including online retail stores, digital marketplaces, subscription services, and online auctions.




  1. Consultation and Quotation Prior to providing a quote for your project, we will conduct a consultation to understand your project needs thoroughly. This ensures accuracy and satisfaction from the outset.
  2. Payment Terms An 80% deposit is required to commence work on your project, with the remaining 20% balance due upon finalisation of the front page of your website before proceeding to the remaining of your website design.
  3. Project Timeline We will notify you before the commencement of development work, providing an estimated completion date. Standard website designs are completed within 3 weeks. An express service is available for delivery within 7 working days, accessible via inquiry at info@monavedesigns.com.
  4. Information Submission To maintain project efficiency and adhere to timelines, all requested information must be provided within 48 hours, any delay of submission over 48 hours will be charged at £5 per day and would be
  5. Abandoned Work If there is no communication from the client after project development begins, we will make three attempts to reach out within 7 working days. Should all attempts fail, the project will be deemed abandoned. A re-activation fee of £100 is required to resume development. Refusal to pay this fee will result in project closure, with no refunds processed.
  6. Monave Designs Link All completed and live website design projects will feature a small link in the footer, attributing Monave Designs and linked as 'credits'. If the client opts to remove this imprint, a fee of £150 will apply.

 

Cancellation & Refunds


  1. Cancellations If you cancel any product or service with Monave Designs after a design consultation but before development begins, you will receive a maximum refund of 50% of the fees paid for the project. Once the project enters development, no refunds will be issued. You will be notified when your project enters the development stage.


  1. Refunds  Refunds for all services will be processed within 60 working days.


  1. Exchange Policy We do not accept exchanges for any services for the initial project purchased from Monave Designs.

 

HOW WE WORK

 

Website Design


At Monave Designs, our website design process is meticulously tailored to ensure we capture our clients' vision perfectly. Here's how it works:


  1. Questionnaire Initiation: We kick off the process by initiating a comprehensive questionnaire. This step is crucial as it allows us to delve deep into understanding the specific needs and preferences of our clients. Without filling out this form, we cannot proceed with any work.
  2. Client-Centric Approach: We pride ourselves on our client-centric approach. We do not operate with creative freedom; instead, we adhere strictly to the needs and desires of our clients. Every aspect of the design is tailored to reflect their unique brand identity and objectives.
  3. First Draft - Front Page Design: Once we have gathered all the necessary information and insights from the questionnaire, our team gets to work on crafting the initial design draft. The first draft focuses solely on the front page of the website. This draft is then presented to the client for review and feedback.
  4. Revision and Confirmation: The client has the opportunity to review the front page design draft and make note of any revisions or adjustments they require. We encourage open communication during this phase to ensure we capture every detail accurately. Once the client is satisfied and confirms the design of the front page, we proceed to the next stage.
  5. Development of Remaining Pages: With the front page design approved, our designers move forward with the development of the rest of the website. While the overall design remains consistent with the approved front page, adjustments to text, colors, or information can still be made as needed.
  6. Finalization and Implementation: Once all pages of the website have been designed and finalised, we proceed with the finalization and implementation phase. At this point, changes to the design are no longer accepted, but we remain flexible in accommodating adjustments to content or information.
  7. Backups and Remedial Work: Where any remedial work is required to restore such files to an acceptable state, a separate quotation for such work will be provided. For content-managed websites, it remains solely The Client’s responsibility to ensure that such content is backed up via the system’s built-in functionality.
  8. Maintenance and Correction of Errors: Monave Designs takes no responsibility for the functionality or maintenance (unless a maintenance contract is in place) of the Website after the Work has been completed. Errors (both technical and typographical) solely attributable to Monave Designs will be corrected free of charge, but Vive Designs reserves the right to charge a reasonable fee for correction of errors for which Monave Designs is not responsible, including, but not limited to malicious modification of the Website by a third party and typographical errors contained in materials provided to Monave Designs by The Client.
  9. Website Warranty: Upon deployment, your website you will be covered under  1 year warranty. The warranty provides assurance that the software will meet its functionality specifications. This warranty covers for any bugs (programming errors) reported to within the 1 year of deployment. Any bugs reported within this time period will be fixed at no additional charge to the client. The warranty is Void if client has FTP access, Administrator access and also if the client has installed updates or third party apps/softwares etc. Any work including diagnosis are charged at an hourly rate from £22/hour depending on the Website.
  10. Content Management System: Clients must update website design with their own content. Monave Designs may upload 1-2 demo pages with text content. Or 2 Demo products with 2 field variations. Monave Designs can upload client content into designed sites at additional cost of £25/hour or a fixed price for specific amount of products.  The client is not to hack, modify the CMS system provided by Monave Designs for their website. Any System Updates, Module Updates will be run by Monave Designs. The client agrees that Plugin, module, CMS updates will be run by Monave Designs only and inclusive of price for the first year only. In the Case that the whole system is passed onto the client, Monave have no responsibilty for website issues which may arise, compatibility issues and other complications which may be as a result of Plugin, Module, update or install.
  11. Content Management System: Clients must update website design with their own content. Monave Designs will upload content based on the agree package with the client with text content. Any content outside the upload agreement between client and Monave Designs can be uploaded at an additional cost of £25/hour or a fixed price for specific amount of products. The client is not to hack, modify the CMS system provided by Monave Designs for their website. Any System Updates, Module Updates will be run by Monave Designs. The client agrees that Plugin, module, CMS updates will be run by Monave Designs only and inclusive of price for the first year only. In the Case that the whole system is passed onto the client, Monave have no responsibilty for website issues which may arise, compatibility issues and other complications which may be as a result of Plugin, Module, update or install.
  12. Email Marketing: Email marketing/Confirmation email designs are not automatically included within website design services and this must be noted to Monave Designs in order for us to provide you a quote.
  13. Hosting Fees: Monave Designs does not assume any responsibility for paying the hosting fees for your website design. Hosting fees are separate from our website design fees. We collaborate with the following hosting companies: Shopify, WordPress, and Wix. Please ask Monave Designs for updated hosting fees.

Brand Design


At Monave Designs, we take a meticulous approach to our Brand design service, ensuring that we deliver a design that perfectly captures our clients' vision. Here's how our process works:


  1. Questionnaire Initiation: We begin by initiating a detailed questionnaire to understand our client's needs, preferences, and brand identity thoroughly. This step is essential for us to tailor the brand design to their specific requirements. Without filling out this form, we cannot proceed with any work.
  2. Client-Centric Approach: We believe in working closely with our clients and do not operate with creative freedom. Instead, we adhere strictly to their needs and preferences throughout the design process, ensuring that the final logo reflects their brand identity accurately.
  3. Initial Design Drafts: Based on the information gathered from the questionnaire and the package acquired, we provide the client with the initial design drafts. These drafts are in line with the chosen package and serve as the foundation for the brand design.
  4. Revision and Selection: The client then chooses one design from the initial drafts that they prefer to be revised. Within the chosen brand design package, revisions are applied until the client is satisfied. However, if additional revisions are requested beyond the package limit, they will be charged at £20 for every 3 revisions.
  5. Finalization and Format: Once the brand design is finalized, we ensure that it meets our high-quality standards. Depending on the client's choice of package, the final brand design will be produced in some or all of the following formats: PDF, AI, PNG, JPEG. We only deliver high-quality logo designs that are ready for immediate use across various platforms and mediums.


By following this structured process, we ensure that we get the logo design right the first time, providing our clients with a logo that not only meets but exceeds their expectations and accurately represents their brand identity.

Licensing, Ownership of the Work


RIGHTS AND RESPONSIBILITIES


Right to Terminate


Monave Designs reserves the right to refuse or break a contract without prior notice, if it is established that The Client is acting illegally, or any supplied material is illegal or there is any form of abuse within the project. In this case the customer loses all rights to any work created and the service initially paid for will be non-refundable.


Ongoing / recurring payments


Ongoing or recurring payments may be cancelled at any point outside of the minimum contract period, with a minimum 60 days prior written notice. Any scheduled fees that will be due inside the 60-day window will still apply.


Events beyond the Control of Monave Designs


Monave Designs will not be liable for breach of contract where that breach was due to software, hardware or electrical failure, natural events such as fire or other events beyond the control of Monave Designs.


Supply and Pricing of Services


Monave Designs reserves the right to use whoever it feels appropriate at the time for third party software and services, without affecting existing contractual and pricing agreements.


This is conditional to those third parties falling under the same legal & contractual obligations as exists between Monave Designs and The Client. This includes the Confidentiality Agreement signed between Monave Designs and The Client (also to be signed by those third parties before the disclosure of any information relating to The Client’s business to those third parties).


All copyrights shall remain the legal property of The Client or any of its subsidiary companies unless such rights have been legally transferred.


Monave Designs reserves the right to alter its prices as necessary giving 30 days notice. Where such changes will affect existing contractual and pricing agreements, The Client will be notified within 90 days of the proposed change of price.


Privacy Policy


Monave Designs and any third party associates shall use information provided by The Client in relation to this agreement in accordance with the Data Protection Act 1998 and also to identify The Client in communications with them. Third parties fall under the same legal & contractual obligations as exists between Monave Designs and The Client. This includes the Confidentiality Agreement signed between Monave Designs and The Client (also to be signed by those third parties before the disclosure of any information relating to The Client’s business). All copyrights shall remain the legal property of The Client or any of its subsidiary companies unless such rights have been legally transferred. Third parties engaged by Monave Designs will sign a confidentially agreement before engaging in any work to The Client’s website or related projects and full contact details such as phone numbers, email addresses and home or work address (whichever is applicable to get hold of the third party involved) will be given to The Client by Vive Designs.


Non-disclosure


Monave Designs and any third party associates agree that, except if directed by The Client, it will not at any time during or after the term of this agreement disclose any confidential information. Likewise, The Client agrees that it will not convey any confidential information about Monave Designs to another party. Third parties fall under the same legal & contractual obligations as exists between Monave Designs and The Client.  This includes the Confidentiality Agreement signed between Monave Designs and The Client (also to be signed by those third parties before the disclosure of any information relating to The Client’s business).


All copyrights shall remain the legal property of The Client or any of its subsidiary companies unless such rights have been legally transferred.


7. INTERPRETATION


7.1 Jurisdiction


This Agreement shall be governed by the laws of the England and Wales which shall claim venue and jurisdiction for any legal action or claim arising from the contract between Monave Designs and The Client. The said contract is void where prohibited by law.


7.2 Survival of Contract


Where one or more terms of the said contract are held to be void or unenforceable for whatever reason, any other terms of the contract not so held will remain valid and enforceable at law.


7.3 Change of Terms and Conditions


These terms and conditions may change from time to time, only by mutual agreement between both parties. Where a contract exists, Monave Designs will discuss with The Client possible revisions to be agreed between both parties.  If no agreement can be reached, both parties have to give reasonable notice of intent of cancellation of the contract, which will be not less than 90 days.


7.4 Termination of Contract


Monave Designs reserves the right to give notice of termination of contract with a Client, which will be not less than 30 days, if it finds The Client in breach of these Terms and Conditions. Monave Designs shall use external independent arbitration to decide what constitutes a breach. If an independent arbitrator would rule in favour of Monave Designs, no refunds are due to The Client in such ruling.


8. LIABILITY AND WARRANTY DISCLAIMER


8.1 Monave Designs commits to providing a website within agreed delivery timescales, conditional to the scope of works remaining unchanged.  If The Client changes the scope of works, a new completion date will be agreed and this agreement will take precedence over the previous agreement. Monave Designs, will offer a full or partial refund and/or additional services (to be agreed with The Client) in light of any failure to carry out services within a given delivery timescale in accordance with Clause 4.2 Supply of Materials.


8.2 Monave Designs reserves the right to assign the work to a third party associate should there be the need to. The third party engaged by Monave Designs will sign a confidentially agreement before engaging in any work to The Client’s website and/or associated projects and full contact details of the third party involved will be given to The Client by Monave Designs.


The Client agrees Monave Designs is not liable for any failure to carry out services for reasons beyond its control including but not limited to acts of Religion, telecommunication problems, software failure, hardware failure, third party interference, Government, emergency on major scale or any social disturbance of extreme nature such as industrial strike, riot, terrorism and war or any act or omission of any third party services.

Monave Designs is not liable for any consequences or financial losses such as, but not limited to, loss of business, profit, revenue, contract, data or potential savings, relating to services provided by The Client to its clients.


9. Handover


Monave designs will ensure all features of the site and any files are functioning on handover. Monave Designs will (if applicable) also provide Video demos for The Client.  The Client must test the system and report any issues back to Monave Designs for rectification as soon as it becomes aware of any issues. All access credentials will be provided for The Client to allow usability and accessibility of the site.  This information can be changed to prevent the user from accessing the site if The Client has not fully paid for the work within the agreed time.  The Client needs to confirm in writing that it has understood all the information received from Monave designs.


9.1 Whilst every effort is made to make sure files are error free, Monave Designs cannot guarantee that the display or functionality of the Work will be uninterrupted or error free. Monave Designs will endeavour to make sure that display and functionality of the Work is error free in the Main Browsers before handover of the completed Work. If after handover of files errors are found in code that Monave Designs has created using the Main Browsers, domain name setup and hosting setup are the same as when work began, then Monave Designs will correct these errors for The Client free of charge.


If after handover of files, errors are found in code that Monave Designs has created, where an updated software version of one or all of the Main Browsers exists, or the domain name setup or hosting setup has been changed, Monave Designs reserves the right to quote separately for any additional work needed as a result of changes to the browser software, domain name setup or hosting setup.

Should The Client go into compulsory or involuntary liquidation or cannot pay its debts in the normal course of business, Monave Designs reserves the right to cancel forthwith any projects and invoice Client for any work completed. Monave Designs shall have no liability to The Client or any third parties for any damages, including but not limited to, claims, losses, lost profits, lost savings, or other incidental, consequential, or special damages arising out of the operation of or inability to operate these web pages or web site, even if Monave Designs has been advised of the possibility of such damages.

There are sometimes laws and taxes which affect Internet e-commerce.  The Client agrees that it is their responsibility to comply with such laws and will hold harmless, protect, and defend Monave Designs and its subcontractors from any claim, suit, penalty, tax, or tariff arising from The Client’s exercise of Internet e-commerce.

Monave Designs may from time to time recommend to The Client updates of which it is aware and which are recommended to be updated to their site, including but not limited to, new legislations, software releases and web standards. Monave Designs reserves the right to quote for any updates as separate work. The Client agrees that it shall defend, indemnify, save and hold Monave Designs harmless from any and all demands, liabilities, costs, losses and claims arising from omission to inform or implement these updates of which it was not aware.

By accepting a quotation or making a payment of invoice to use the services supplied, The Client acknowledges to have; read, understood and accepted the Terms and Conditions of this Agreement by Monave Designs, and agrees to be legally bound by these Terms and Conditions.

Agreement

By agreeing and making payment and for any service from Monave Designs, you are legally obligated to adhere to the terms and conditions outlined by Monave Designs.
